The Chat Laboratory Ltd. – General Terms & Conditions

Please read these Terms and Conditions (“Terms”, “T&Cs”) carefully. These Terms govern the contract between The Chat Laboratory Ltd (the “Company”) and you (the “Client”) for the provision of online language training services.
Your booking is not valid until a confirmation invoice has been issued to you by the Company. The contract between the Client and the Company is based on these Terms.
1. The Services
The Chat Laboratory Ltd provides online language training services to corporate clients and individuals. Our services include live online classes, lesson materials, and language training tailored to your needs. The specific details of the course, including the number of students, duration, and content, will be set out in the confirmation invoice and subsequent agreement.
2. Course Materials
Our teachers will provide all necessary lesson materials. These materials are uploaded to Microsoft Teams and can be accessed by students at any time after each lesson. All course materials and content are the intellectual property of The Chat Laboratory Ltd.
3. Booking and Payment
- A contract is made between The Chat Laboratory and the Client upon the issuance of a confirmation invoice by email.
- Payment is due within 15 days of the invoice date unless otherwise specified.
- All payments must be made in advance of the first lesson.
- All course fees are payable in GB Pounds or Euros, depending on the course selected.
- The Company’s educational and training services are VAT-exempt, and no VAT is charged unless otherwise stated.
- We do not charge any booking or registration fees.
4. Cancellations and Postponements
- By the student: If a student needs to cancel a scheduled lesson, the Company’s office must be contacted in writing (via email or post) at least 24 hours before the scheduled lesson. Failure to do so will result in the full amount for the lesson being due.
- By the Company: Classes scheduled for a public holiday will be postponed and rescheduled.
- Long-Term Agreements: If your contract is a 365-day agreement, you may cancel it at any time with a 30-day written notice to the Company’s office.
5. Student Responsibilities
The student agrees to be on time for each lesson and will wait for the teacher for at least 20 minutes in the event the teacher is late, unless agreed otherwise. Students should also make every attempt to complete any homework assigned by the teacher.
6. Late Payment
- In the event of a late payment, the invoice will incur statutory interest at 8% above the Bank of England’s base rate, calculated daily from the due date.
- A reminder will be sent after the due date, followed by a formal demand if payment remains outstanding.
7. Governing Law and Jurisdiction
All agreements and contracts will be exclusively governed by and construed in accordance with the laws of England. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England.
